These Terms and Conditions ("Terms") govern your access to and use of the CodixSoft website and the software development, mobile app, web app, automation and related services (the "Services") we provide. By visiting our website, submitting an enquiry, or engaging CodixSoft for a project, you agree to be bound by these Terms. If you do not agree, please do not use our website or Services.

1. Our Services

CodixSoft designs, develops and delivers custom web applications, mobile applications, AI-driven automation, and related digital products for clients, along with a small set of our own packaged products (such as POS, ERP and WhatsApp-messaging tools). The exact scope, deliverables, timeline and pricing for any engagement are set out in a separate written proposal or contract agreed between CodixSoft and the client, which forms part of these Terms for that engagement.

2. Client Responsibilities

To deliver a project on time and to specification, we rely on the client to provide timely feedback, accurate requirements, and access to any accounts, credentials, content or third-party services needed for the work. Delays caused by late feedback or missing information may extend the project timeline accordingly.

3. Fees, Payment and Refunds

  • Fees, payment schedules and any deposit amounts are set out in the project proposal or contract for that engagement.
  • Once a project has formally begun — including requirement gathering, proposal work, design, or development — fees for work already completed are non-refundable.
  • If CodixSoft is unable to begin a paid project within a reasonable period through no fault of the client, the client may request a refund of any amount paid for work not yet started.
  • Late or missing payment may result in a pause or termination of work until the account is brought current.

4. Ownership of Deliverables

Unless otherwise agreed in writing, upon full payment for a custom project, ownership of the final delivered source code and related project assets transfers to the client. CodixSoft retains the right to reuse general knowledge, techniques and non-client-specific components (such as internal libraries or frameworks) developed during the engagement. Where CodixSoft publishes a mobile application to an app store on the client's behalf using CodixSoft's own developer account, publishing and account-transfer terms will be agreed separately.

5. Confidentiality

We treat client project information — requirements, business data, credentials, source code and related materials — as confidential, and we do not share it with third parties except as needed to deliver the Services (for example, a subcontractor bound by the same confidentiality obligations). We ask that clients likewise keep any of our proprietary tools, pricing, or internal processes confidential.

6. Project Termination

Either party may terminate an active engagement with written notice if the other party materially fails to meet its obligations and does not remedy that failure within a reasonable period after being notified. On termination, CodixSoft will deliver the work completed to date, and the client will pay for work performed up to the termination date.

7. Warranties and Disclaimers

We stand behind the quality of our work and will use reasonable skill and care in delivering the Services. Beyond that, our website and any general information on it are provided "as is," without warranties of any kind, express or implied, to the fullest extent permitted by law. We do not guarantee that our website or delivered software will be uninterrupted or error-free, though we will act promptly to fix defects reported within any warranty period agreed for a specific project.

8. Limitation of Liability

To the fullest extent permitted by law, CodixSoft's total liability arising out of or relating to the Services is limited to the amount paid by the client for the specific engagement giving rise to the claim. CodixSoft is not liable for indirect, incidental or consequential damages, including loss of profits or data, except where such limitation is not permitted by law. Nothing in these Terms limits liability for death, personal injury, or fraud caused by our negligence.

9. Communications

By providing your email, phone number, or WhatsApp number to us — for example through our contact form, project enquiry, or newsletter signup — you agree that we may contact you about your enquiry or project using that channel. If you subscribe to our newsletter or receive occasional updates from us, you can unsubscribe or ask us to stop at any time by replying to any message or emailing us at the address below.

10. Force Majeure

Neither party is liable for delay or failure to perform an obligation due to events beyond its reasonable control, including natural disasters, war, civil unrest, or significant infrastructure or utility outages, provided the affected party promptly notifies the other and uses reasonable efforts to resume performance.

11. Governing Law

These Terms are governed by the laws of the United States, without regard to conflict-of-law principles, unless a separate written contract for a specific engagement specifies otherwise.

12. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services or legal requirements. The updated Terms will be posted on this page with a revised effective date, and continued use of our website or Services after that date constitutes acceptance of the changes.
